1.1 About This Policy
This Membership Policy ("Policy") governs all aspects of membership in the Impctrs Professional Network ("IPN," "Network," "we," "us," or "our"), a division of Impctrs Management Group. This Policy applies to all members ("Members," "you," or "your") and establishes the terms, conditions, rights, and obligations associated with IPN membership.
1.2 Mission and Purpose
The Impctrs Professional Network exists to catalyze social change through collaboration by creating a thriving ecosystem where nonprofit leaders, social entrepreneurs, and mission-driven professionals can mobilize, innovate, and scale meaningful impact together.

1.4 Agreement Formation
By applying for, paying for, or participating in IPN membership, you acknowledge that you have read, understood, and agree to be bound by this Membership Policy and all related terms and conditions.

IPN offers three distinct membership tiers designed to meet members at their current stage of impact work:

3. MEMBERSHIP APPLICATION AND APPROVAL
3.1 Eligibility Requirements
To be eligible for IPN membership, applicants must:
• Be at least 18 years of age
• Work in or be committed to social impact, nonprofit, or mission-driven sectors
• Demonstrate alignment with IPN values and community standards
• Provide accurate and complete application information
• Agree to abide by all membership terms and community guidelines
3.2 Application Process
Step 1: Application Submission
• Complete the online membership application
• Provide professional background and organizational information
• Specify membership tier selection and payment preference
• Submit application for review
Step 2: Review and Approval
• IPN reserves the right to review and approve all membership applications
• Applications are typically processed within 2-3 business days
• Additional information or clarification may be requested
• Approval is at the sole discretion of IPN leadership
Step 3: Payment and Activation
• Approved applicants receive payment instructions and access credentials
• Membership begins upon successful payment processing
• New member onboarding sequence is automatically initiated
• Access to member platforms and resources is granted within 24 hours
3.3 Application Denial
IPN reserves the right to deny membership applications for any reason, including but not limited to:
• Misalignment with network values or mission
• Incomplete or inaccurate application information
• Previous violations of IPN policies or community standards
• Engagement in activities contrary to social impact principles
• Capacity limitations or network balance considerations
Denied applicants will receive notification and may reapply after addressing stated concerns.
4. PAYMENT TERMS AND BILLING
4.1 Membership Fees
Current Pricing Structure:
• Builder: $47/month or $470/year
• Scaler: $97/month or $970/year
• Legacy Leader: $197/month or $1,970/year
All prices are stated in U.S. dollars and are subject to change with 30 days advance notice to existing members.
4.2 Payment Processing
Accepted Payment Methods:
• Major credit cards (Visa, MasterCard, American Express, Discover)
• PayPal and digital payment platforms
• Electronic bank transfers (ACH)
• Corporate purchase orders (pre-approved accounts only)
Billing Schedule:
• Monthly memberships: Charged on the same date each month
• Annual memberships: Charged annually on membership anniversary date
• All charges processed automatically unless cancelled prior to billing date
4.3 Payment Failures and Account Status
Failed Payment Protocol:
• First failed payment: Automatic retry after 3 days with email notification
• Second failed payment: Account suspension and member notification
• Third failed payment: Account termination and membership cancellation
Account Suspension: During payment failure periods, members lose access to:
• All member platforms and resources
• Live events and community participation
• Member benefits and services
• Customer support (except billing-related issues)
Account Reinstatement:
• Update payment information and settle outstanding balances
• Account reactivation within 24 hours of successful payment
• No reinstatement fees for accounts suspended less than 30 days
• Accounts suspended over 30 days may require re-application
4.4 Refund Policy
No Refund Policy: IPN maintains a strict no-refund policy for all membership fees. This includes but is not limited to:
• Monthly or annual membership payments
• Upgrading between membership tiers
• Voluntary membership cancellations
• Dissatisfaction with network resources or community
• Personal circumstances preventing participation
Limited Exceptions: Refunds may be considered only in the following circumstances:
• Technical failures preventing access for more than 7 consecutive days
• Membership termination by IPN due to platform errors
• Duplicate payments or billing system errors
• Force majeure events preventing network operations
4.5 Price Changes
IPN reserves the right to modify membership pricing with the following conditions:
• Minimum 30 days advance notice to all active members
• Existing members maintain current pricing for their current membership term
• Founding members retain lifetime pricing protection
• Price increases apply to new memberships and renewals after the effective date

6. MEMBER RESPONSIBILITIES AND CONDUCT

• Maintain confidentiality of sensitive member information
• Represent IPN positively in external communications
6.2 Prohibited Conduct
Members may not engage in:

• Spam, solicitation, or inappropriate marketing to other members
• Sharing of copyrighted or proprietary materials without permission
• Misrepresentation of credentials, experience, or organizational status
• Activities that compete directly with IPN services or undermine network value
6.3 Professional Networking Guidelines
Appropriate Networking:
• Genuine relationship building and mutual support
• Sharing relevant opportunities and resources
• Collaborative problem-solving and knowledge exchange
• Respectful promotion of member services and capabilities
Inappropriate Behaviors:
• Aggressive sales tactics or pushy promotion
• Unsolicited pitching or constant self-promotion
• Collecting member information for external marketing
• Violating member privacy or sharing personal information
6.4 Intellectual Property Respect
Members must respect all intellectual property rights including:
• IPN proprietary content, methodologies, and resources
• Fellow member's original work and contributions
• Third-party materials shared within the network
• Trademark and branding guidelines for IPN references
6.5 Consequences for Violations
Violation of community standards may result in:
• Verbal or written warnings
• Temporary suspension of membership privileges
• Permanent membership termination without refund
• Legal action for serious violations or damages
• Public disclosure of violations when appropriate for community safety
7. CONTENT AND INTELLECTUAL PROPERTY
7.1 IPN Intellectual Property
All content, materials, and resources provided through IPN membership are the exclusive intellectual property of Impctrs Management Group, including:
• Training materials, courses, and educational content
• Templates, tools, and resource libraries
• Proprietary methodologies and frameworks
• Platform technology and user interfaces
• Branding, logos, and marketing materials
7.2 Member License and Usage Rights
Limited License Grant: Members receive a limited, non-exclusive, non-transferable license to:
• Access and use IPN content for personal and organizational development
• Implement strategies and frameworks within their own organizations
• Reference IPN methodologies with proper attribution
• Share appropriate content within their teams and organizations
Usage Restrictions: Members may NOT:
• Redistribute, resell, or commercially exploit IPN content
• Modify, adapt, or create derivative works without permission
• Remove copyright notices or attribution requirements
• Use IPN content to compete with or replicate IPN services
• Share login credentials or provide unauthorized access to others
7.3 Member-Generated Content
Content Ownership:
• Members retain ownership of their original contributions and content
• IPN receives a royalty-free license to use member content for network improvement
• Member testimonials and success stories may be used for marketing purposes
• Case studies and examples may be incorporated into IPN materials
Content Standards: All member-generated content must:
• Comply with community standards and guidelines
• Respect intellectual property rights of others
• Be accurate and not misleading
• Align with IPN values and professional standards
7.4 Third-Party Content and Integrations
External Resources:
• Third-party content used under appropriate licensing agreements
• Members must comply with third-party terms and conditions
• No additional rights granted beyond network participation
• Members responsible for securing additional licensing for commercial use
8. PRIVACY AND DATA PROTECTION
8.1 Member Information Collection
IPN collects and processes member information including:
• Application and registration data
• Payment and billing information
• Platform usage and engagement analytics
• Communication and interaction records
• Professional background and organizational details
8.2 Information Usage
Member information is used to:
• Provide membership services and benefits
• Facilitate networking and collaboration opportunities
• Improve platform functionality and member experience
• Communicate important updates and opportunities
• Analyze network engagement and effectiveness
8.3 Information Sharing
Within the Network:
• Basic professional information shared in member directory
• Collaboration and networking facilitation
• Success stories and testimonials (with permission)
• Aggregate analytics and network insights
External Sharing:
• Limited to legal requirements and service providers
• Marketing and promotional purposes (with consent)
• Strategic partnerships that benefit members
• Always in compliance with applicable privacy laws
8.4 Member Privacy Controls
Members can:
• Control visibility of their profile information
• Opt out of certain communications and promotions
• Request access to their personal data
• Request correction or deletion of inaccurate information
• Withdraw consent for optional data processing
9. MEMBERSHIP TERMINATION AND CANCELLATION
9.1 Voluntary Cancellation by Member
Cancellation Process:
• Members may cancel at any time through their account dashboard
• Cancellation must be completed before the next billing cycle
• No partial refunds provided for unused portions of membership periods
• Access continues through the end of the current billing period
Post-Cancellation Access:
• Immediate loss of access to member platforms and resources
• Removal from member directory and networking tools
• Loss of member benefits and discounted services
• Previously downloaded resources may be retained for personal use
9.2 Involuntary Termination by IPN
Grounds for Termination: IPN may terminate membership immediately for:
• Violation of community standards or conduct policies
• Non-payment of membership fees after grace period
• Misrepresentation of credentials or organizational status
• Engaging in activities harmful to the network or other members
• Legal or regulatory compliance requirements
Termination Process:
• Written notice of termination and reasons
• Immediate suspension of access and benefits
• No refund of membership fees paid
• Opportunity to appeal termination decisions within 30 days
9.3 Network Discontinuation
Service Changes: IPN reserves the right to:
• Modify or discontinue membership programs with 90 days notice
• Change membership benefits or tier structures with advance notice
• Merge or restructure the network with member notification
• Cease operations with appropriate wind-down procedures
Member Protection: In the event of significant changes or discontinuation:
• Maximum advance notice provided to all members
• Refund consideration for annual members with remaining terms
• Assistance with transitioning to alternative resources or platforms
• Preservation of member connections and relationship data where possible
10. DISCLAIMERS AND LIMITATION OF LIABILITY
10.1 Service Disclaimers
"As Is" Provision: IPN membership and all associated benefits are provided "as is" without warranties of any kind, including:
• Fitness for particular business or organizational purposes
• Achievement of specific outcomes or results
• Accuracy or completeness of information and resources
• Uninterrupted access or error-free operation
• Compatibility with all devices or systems
10.2 Professional Development Disclaimer
No Guarantee of Results:
• IPN provides tools and resources but cannot guarantee specific outcomes
• Member success depends on individual implementation and effort
• Business and funding results vary based on numerous external factors
• Professional advice should be sought for specific business decisions
10.3 Third-Party Service Disclaimer
External Providers:
• IPN partners with third-party service providers for enhanced member benefits
• IPN is not responsible for third-party service quality or availability
• Members must comply with separate terms for third-party services
• No warranties provided for external integrations or partnerships
10.4 Limitation of Liability
Damage Limitations: IPN's total liability for any claims arising from membership shall not exceed:
• The amount paid by the member in the 12 months preceding the claim
• Direct damages only (excluding consequential or indirect damages)
• No liability for lost business opportunities or revenue
• No responsibility for member's business decisions or implementations
10.5 Networking and Collaboration Disclaimer
Member Interactions:
• IPN facilitates networking but is not responsible for member business relationships
• Members engage with each other at their own risk and discretion
• IPN does not verify all member credentials or business claims
• Disputes between members must be resolved independently
11. DISPUTE RESOLUTION
11.1 Internal Resolution Process
Step 1: Direct Communication
• Members encouraged to resolve disputes directly when possible
• IPN support available to facilitate resolution discussions
• Documentation of issues and attempted resolution efforts
Step 2: Formal Complaint Process
• Written complaints submitted to [email protected]
• Investigation and response within 10 business days
• Mediation services offered for complex disputes
• Final decision by IPN leadership when necessary
11.2 Legal Dispute Resolution
Governing Law: This Policy is governed by the laws of Florida without regard to conflict of law principles.
Mandatory Arbitration: All disputes arising from membership must be resolved through binding arbitration rather than court proceedings, except for:
• Intellectual property disputes
• Requests for injunctive relief
• Small claims court matters within jurisdiction
Arbitration Process:
• American Arbitration Association (AAA) Commercial Rules
• Single arbitrator selected according to AAA procedures
• Arbitration location: Kissimmee, Florida
• Final and binding arbitration award
11.3 Class Action Waiver
Members agree that any arbitration or legal proceeding shall be limited to the dispute between the member and IPN individually. Members waive any right to participate in class action lawsuits or class-wide arbitrations.
12. GENERAL PROVISIONS
12.1 Entire Agreement
This Membership Policy, together with the IPN Terms of Service and Privacy Policy, constitutes the complete agreement regarding membership in the Impctrs Professional Network.
12.2 Policy Modifications
IPN reserves the right to modify this Policy at any time with the following notification procedures:
• Email notification to all active members
• 30 days advance notice for material changes
• Posting of updated policy on IPN website
• Continued membership constitutes acceptance of policy changes
12.3 Severability
If any provision of this Policy is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect. The unenforceable provision shall be replaced with an enforceable provision that most closely reflects the original intent.
12.4 Assignment
Members may not assign or transfer their membership rights without IPN's written consent. IPN may freely assign its rights and obligations under this Policy to affiliates or successors.
12.5 Waiver
IPN's failure to enforce any provision of this Policy does not constitute a waiver of that provision or any other rights. All waivers must be in writing and signed by authorized IPN representatives.
